1. Introduction
Welcome to Edelio. Edelio is the international brand name for this service. In Turkey, the same service is offered under the brand name Okuldaş. Both names refer to the same company, the same platform, and this same agreement. Wherever these terms say Edelio, they mean us, regardless of which brand name you see on your screen. Staff and Parents in Turkey sign in at app.okuldas.com, and Staff and Parents everywhere else sign in at app.getedelio.com. Both addresses lead to the same Service.
These Terms of Service, which we call these Terms, are an agreement between you and Edelio LLC, a Delaware limited liability company with a registered address at 8 The Green, Ste B, Dover, DE 19901, USA (Edelio, we, us, our). They apply to every Staff member and every Parent who holds an account with Edelio. If you are Staff acting on behalf of a school, nursery, or similar institution, your institution has also signed a separate agreement with us that governs how it uses the Service and how its data is handled. These Terms apply to you personally as a user of the Service, alongside that separate agreement. Section 26 explains how you can access a copy of your Organization's agreement, and of every document referenced in these Terms.
These Terms also apply to a Visitor's use of okuldas.com, getedelio.com, blog.okuldas.com, and blog.getedelio.com, as Section 2 defines Visitor. A Visitor is bound by Sections 1, 2, 11, 17, 18, 20, 23, 24, 25, and 26, which describe general use of our website, our intellectual property, third-party links, our disclaimers and liability limits, governing law, changes to these Terms, and how to reach us. The remaining sections describe features of the Service that require an Account, and Student Data that only a User's Organization can authorize, and do not apply to a Visitor who has not created one.
Each major section below is followed by a short paragraph starting with the words In short. Those paragraphs exist only to help you understand the section above them. They are not binding, they do not replace the full text, and they do not change your rights or obligations. If a short paragraph and the section above it ever seem to disagree, the full section governs.
In short: Edelio and Okuldaş are the same company under two names. These Terms bind the Staff and Parents who hold accounts, and, for general use of our landing and blog websites, a Visitor who holds neither. Schools have their own separate agreement with us as well.
2. Definitions
- Organization means a school, nursery, learning center, or similar institution that has signed a separate written agreement with us to use the Service, and that is responsible for its Branches, Staff, and Students within the Service.
- Branch means a physical or administrative location or subdivision of an Organization, configured within the Service by that Organization.
- Staff means an individual granted access to the Service by an Organization to act on its behalf, including teachers, school leaders, and administrators, regardless of the specific role or permissions assigned to that individual.
- Parent means a parent or legal guardian of a Student, invited into the Service by Staff acting on behalf of that Student's Organization, who holds their own account to receive information about that Student and to communicate with Staff. A Parent cannot invite another Parent.
- Student means a child enrolled with an Organization whose information is processed within the Service. A Student is a data subject and never an account holder. No account credentials are ever issued to a Student. Every reference to Student in these Terms describes a person about whom information is processed, not a party who has agreed to anything here.
- User, you, and your mean Staff or a Parent who holds an account and has agreed to these Terms, and, where Section 1 states that a section of these Terms applies to a Visitor, also mean that Visitor for purposes of that section. Students are expressly excluded from this definition.
- Visitor means a person who accesses okuldas.com, getedelio.com, blog.okuldas.com, or blog.getedelio.com without holding an Account. A Visitor is not a User.
- Account means the credentialed access granted to a User, created only through an invitation from an Organization-scoped user acting on that Organization's behalf. A Parent cannot invite another Parent. There is no self-registration.
- Student Data means any information relating to an identified or identifiable Student, including enrollment records, attendance, meal and sleep records, body measurements, health and medical information such as allergies, medical conditions and medication schedules, wellbeing records, photographs and videos, and any content generated about a Student by the Service's AI features.
- Content means anything a User submits to, or generates through, the Service, including messages, posts, announcements, comments, photographs, videos, files, and Student Data entered by that User.
- AI-Assisted Content means Content that is generated, drafted, or translated in whole or in part by an automated system, including daily narrative summaries and machine-translated text.
- Subscription and Fees mean the paid or free-tier arrangement between an Organization and us for use of the Service, and any amounts payable under it.
- Agreement means, together, these Terms and any document they incorporate by reference, including our Privacy Policy and our Paid Features Terms, together with, for an Organization specifically, its separately signed Master Subscription Agreement and Data Processing Agreement. Section 26 describes how you can access all of these.
In short: these are the words this document uses in a specific sense. The most important one is Student. A Student is a child whose information we process. A Student never holds an Edelio account.
3. Who these terms bind, and your Organization's role
These Terms bind you as an individual user, whether you are Staff or a Parent. If you are Staff, you are using the Service on behalf of, and subject to the authorization of, your Organization. Your Organization has its own separate agreement with us covering how Student Data is handled on its behalf, including a data processing agreement. Where that separate agreement and these Terms both address the same subject for Student Data specifically, the separate agreement with your Organization governs that subject; these Terms otherwise govern your own use of the Service as a User. See Section 26 for how to access a copy of that agreement.
If your Organization is subject to a specific legal or regulatory framework for its education records, that framework is addressed in your Organization's separate agreement with us, not in this public document.
In short: your school has its own contract with us for how it handles your child's information. These Terms are about your own use of the Service as a person.
4. Eligibility, acceptance and versioning
You must be at least eighteen years old to hold an Account. There is no path for a child to register for or hold an Account. Every Account is created only through an invitation from a Staff member acting on behalf of an Organization. A Parent cannot invite another Parent, even one already connected to the same Student. We do not offer self-registration.
By accepting an invitation, setting a password, or otherwise using the Service, you agree to these Terms as they exist at that time. Each version of these Terms carries a version identifier, currently version 1.0. The version you accepted is recorded against your account.
The Service is not offered in the United States, and is not offered in Russia, Iran, or any other country or region subject to comprehensive trade sanctions or embargoes under United States, European Union, or United Nations law. By accepting these Terms, you confirm that you are not located in, and do not ordinarily reside in, any such country or region, and that you are not identified on any government list of restricted or prohibited parties.
In short: you must be an adult, invited in, and you agree to the version of these Terms you actually accepted. The Service is also not offered in the United States or in any comprehensively sanctioned country, including Russia and Iran.
5. Registration and account security
When you create an Account, the information you provide must be accurate and kept up to date. You are responsible for keeping your login credentials confidential and for all activity under your Account. Tell us immediately if you believe your Account has been accessed without your permission. We may offer sign-in through a third-party identity provider, such as Google or Apple, in addition to email and password; if you use one, that provider's own terms also apply to that part of the process.
We may decline to create an Account, or may suspend or terminate an existing one, for the reasons described in Section 16.
In short: keep your account details accurate, keep your password secret, and tell us fast if something looks wrong.
6. The service, free and paid access, and changes to it
The Service is made available to Organizations and their invited Staff and Parents for lawful use in connection with an Organization's operations and communications, and for no other purpose. Staff use the Service as part of their role at their Organization; that use is authorized by, and on behalf of, the Organization, not a personal or private use of Staff acting in their own capacity. Some features of the Service are available at no charge, subject to usage limits described in Section 14, and some are available only as part of a paid Subscription. We may add, change, or remove features of the Service over time, including features you currently use without charge, and we may suspend the Service or particular features for maintenance, security, or legal reasons. Where reasonably possible, we will give advance notice before discontinuing a feature that stores your Content, and a reasonable opportunity to retrieve it first.
We may restrict or decline to offer the Service in a jurisdiction where offering it would violate applicable law.
In short: most of the Service works today; some parts cost money; we may change things over time and will try to warn you first if that affects your data.
7. AI-assisted content and machine translation: what you need to know
This section exists because it matters more for Edelio than for most software, and we want to be direct about it rather than bury it in a general disclaimer.
Edelio uses artificial intelligence to help Staff draft daily updates and summaries about Students, and to translate Content, including safety-related Content such as notes about allergies, medications, and incidents, into the language a Parent has chosen. These features are genuinely useful, and we build them carefully, but they are assistive tools, not a substitute for direct communication with your child's teacher or school in a shared language.
The following applies to all AI-generated and machine-translated Content on the Service:
- AI-generated summaries and machine translations may contain errors, omissions, or inaccuracies. This risk is highest for content involving health, medication, allergies, or an incident affecting a child, and it is highest for languages with fewer available translation resources.
- Where Content has been translated, the original text as written by the Staff member or Organization is always available to you alongside the translation, and the original text governs if there is any difference between it and the translation.
- If you are a Parent and you receive any information about a health condition, an allergy, a medication, or an incident affecting your child, and you have any doubt about its accuracy or completeness, contact your child's Organization directly, in the original language if possible, before acting on it. Do not rely solely on a machine translation or an AI-generated summary for a decision that affects your child's health or safety.
- If you are Staff, you remain responsible for reviewing AI-assisted summaries before they are shared with a Parent, and for entering health and safety information about a Student accurately and completely.
- Before Content is sent to a third-party AI or translation provider, we remove personally identifying details, such as a child's name, from it. Our Privacy Policy describes how identifier removal works, in full.
Our liability for harm arising from an inaccurate AI-generated summary or an inaccurate machine translation of safety-critical Content is addressed in Section 20.
In short: our AI can draft and translate things for you, including sensitive health information, but it can get things wrong, especially in translation. The original text always wins over a translation. For anything about your child's health or safety, when in doubt, ask the school directly.
8. Privacy and security
Our Privacy Policy describes what personal information we collect, how we use it, who we share it with, how long we keep it, and the rights you and, where applicable, your Organization have over it, including rights specific to Student Data. By using the Service, you acknowledge that your information, and, if you are Staff entering it, Student Data, will be handled as described there.
We will not reduce the rights described in our Privacy Policy for information already collected without your consent, except where required by law.
In short: our separate Privacy Policy has the details on data handling. This section just points you to it.
9. Your content and the license you grant us
Ownership of the Content you submit stays with you, or with your Organization where the Content is Student Data your Organization is responsible for. We do not claim ownership of it.
To operate, maintain, and improve the Service, you grant us a limited, non-exclusive, worldwide license to host, store, copy, transmit, and display your Content, and to make the technical changes to it necessary to provide the Service, such as reformatting a photo for different screen sizes or generating a translation of it. This license also lets us analyze Content in de-identified, aggregated form for our own internal use, to understand how the Service is used and to guide how we improve it. We never sell or rent Content, or any data derived from it, to a third party, and we never use it to build a profile of a Student, Parent, or Staff member for marketing, advertising, or targeting of any kind. We do not have an advertising business. Our Privacy Policy describes our current position on training an AI model, and any future opt-in mechanism if we ever build one, in more detail.
This license ends when you or your Organization delete the relevant Content or Account, except that: Content already shared with other Users through the ordinary operation of the Service, such as a message already sent, may persist with those other Users; and an Organization may need to retain certain Student Data for its own recordkeeping or legal obligations even after a Parent's own Account is deleted, in which case that retention is governed by the Organization's separate agreement with us and by our Privacy Policy, not by this section.
If you send us an idea, suggestion, or other feedback about the Service, unprompted and outside the process for a School's own recordkeeping, you agree we may use it freely, without owing you anything or crediting you, and without it becoming Content subject to the rest of this section. Do not send us feedback that includes a Student's information.
In short: you own what you submit. We get a license to run the Service with it, including analyzing it in de-identified form for our own internal use to improve the Service, never to sell or rent it or use it to profile or target your family for marketing, and that license ends when the content or account is deleted, with narrow exceptions for things already shared or things a school must keep for its own records. If you send us an idea about the Service, we can use it freely.
10. Photos, likeness, and Student Data in shared content
Photos and videos of a Student shared through the Service are visible only to that Student's connected Parents and the Staff responsible for that Student, not to the public. If you are Staff and you upload a photo or video showing a Student, you confirm that doing so is consistent with your Organization's own policies and any consent your Organization has obtained. If you are a Parent and you upload a photo or video showing a person other than your own child, you confirm you have the right to do so and, where that person is a child, the consent of that child's parent or guardian.
In short: photos stay within the small circle of people connected to that child, and whoever uploads a photo is responsible for having the right to share it.
11. Acceptable use
You agree not to:
- Use the Service for any purpose that is unlawful, or that violates the rights of a Student, another User, or a third party.
- Attempt to access an Account, Student Data, or Content you are not authorized to access.
- Re-identify, or attempt to re-identify, a Student from information we have de-identified or aggregated.
- Copy, modify, reverse engineer, or create derivative works of the Service or its underlying software, except to the extent applicable law prevents this restriction.
- Interfere with or disrupt the Service, or circumvent any security or access control.
- Use the Service to build a competing product or service.
- Remove or obscure any proprietary notice on the Service.
- Upload content that is unlawful, defamatory, harassing, or that exploits or endangers a child.
We may remove Content, and suspend or terminate an Account, that violates this section, with or without notice depending on the severity of the violation, as described further in Section 16.
In short: use the Service the way it is meant to be used, do not try to see things you are not authorized to see, and do not misuse a child's information or image.
12. Additional terms for Staff
If you are Staff, you confirm that you are currently authorized by your Organization to act on its behalf within the Service, and that you will promptly stop using any Organization's Account information if that authorization ends, for example when your employment ends. You are responsible for reviewing Content you submit, including AI-assisted summaries described in Section 7, before it becomes visible to a Parent, and for entering Student Data, including health and safety information, accurately and completely. Health information about a Student belongs in the medical and wellbeing modules built for it, not in a general note, message, announcement, or other free-text field elsewhere in the Service; those other fields are not designed to hold it and are not covered by the consent that governs the medical and wellbeing modules, so you should not put it there. If your Organization enables a feature that lets an administrator view Staff-Parent conversations for safety or quality purposes, that feature is described in Section 19; your use of the Service is subject to it where your Organization has turned it on.
In short: as Staff, confirm you are still authorized to act for your school, review what you send before a parent sees it, keep a child's health information in the medical and wellbeing modules rather than a general note or message, and be accurate with a child's safety information.
13. Additional terms for Parents
If you are a Parent, you are invited into the Service by Staff acting on behalf of your child's Organization. You cannot be invited by, or invite, another Parent. Where the Service asks for your consent to a particular use of your child's Student Data, such as processing health information or wellbeing information, you are the person who gives or withholds that consent; your child's Organization cannot give that consent on your behalf, and can only serve as the means by which our request for your consent reaches you. You may withdraw a consent you have given at any time using the mechanism the Service provides for that purpose, and our Privacy Policy describes what happens to previously processed Student Data when you do.
You are responsible for the accuracy and appropriateness of any Content you submit yourself, including messages and photographs, and for reviewing it before you submit it.
In short: if the Service asks for your consent about your child's information, that decision is always yours, never your school's, and you can change your mind later.
14. Paid features
Some features of the Service are available only to an Organization with an active paid Subscription. An Organization's Subscription, including its price, is agreed between that Organization and us and is not set or paid by individual Parents. As of this draft: a free tier exists with usage limits on things such as the number of Students, Staff, and Parents, and on posting and messaging volume; paid tiers are priced per enrolled Student per year, with optional add-ons for additional AI features and white-label branding. Our Paid Features Terms describes these tiers and features in more detail. The specific billing, renewal, proration, and cancellation terms for an Organization's own Subscription are set out in that Organization's own Master Subscription Agreement with us, not in this public document.
In short: your school pays for the plan it chooses, under the billing terms in its own agreement with us; individual Staff and Parent accounts are not separately billed by us for using the Service itself.
15. Fees your school collects from you: we track them, we do not process them
Some Organizations use a feature of the Service to record tuition or other fees owed by a Parent to that Organization, and to track installments and payments against them. This feature is a record-keeping tool. Payments recorded through it are entered by your Organization's own Staff, based on payment your Organization received directly, through whatever means your Organization and you have agreed to outside the Service. We are not a party to that payment, we do not process, hold, or transmit funds between you and your Organization through this feature, and we are not a payment facilitator or money transmitter for it. Any dispute about an amount owed, a payment received, or a payment plan is between you and your Organization; contact your Organization first.
In short: if your child's school tracks tuition payments through Edelio, that is a record-keeping tool. The actual payment happens directly between you and the school, not through us.
16. Term and termination
These Terms apply from the moment you first accept them until your Account is closed. You may ask to close your Account at any time; our Privacy Policy describes what happens to your information, and to Student Data your Organization has recorded, after you do. We may suspend or terminate your Account, or restrict your access to particular features, if we reasonably believe you have violated these Terms, if we are investigating a suspected violation, or if your Organization asks us to, for example because your relationship with that Organization has ended. Where reasonably possible, we will tell you why. Sections of these Terms that by their nature should survive termination, including ownership, the license in Section 9, disclaimers, limitation of liability, and governing law, continue to apply after your Account is closed.
In short: you can leave anytime, and we can close your account for a clear reason, usually with an explanation.
17. Intellectual property
Except for your own Content, the Service, including its software, design, and trademarks, is owned by us or our licensors, and using the Service does not give you any ownership interest in it. All rights not expressly granted to you in these Terms are reserved.
If you believe Content on the Service infringes your copyright, you may send a notice to our designated copyright agent, whose contact details are in Section 26. To be effective, your notice must include your physical or electronic signature, identification of the copyrighted work you claim is infringed, identification of the infringing material and enough information for us to locate it within the Service, your contact information, a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law, and a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner. We will act on a valid notice by removing or disabling access to the identified material, and we will tell the User who submitted it that this happened. A User who believes their Content was removed in error may contact us to dispute it. We may suspend or terminate the Account of a User who repeatedly infringes the rights of others.
For any other intellectual property concern that is not a copyright notice of this kind, contact us using the details in Section 26.
In short: we own the software and brand; you own what you create. If you believe something on the Service infringes your copyright, send a formal notice to our designated copyright agent and we will act on it; repeated infringement can cost a User their Account.
18. Third-party content, websites, and services
The Service may link to or integrate with websites or services we do not control, including the third-party providers described in our Privacy Policy that help us provide features such as translation, hosting, messaging, and payments for Organization Subscriptions. We are not responsible for the content or practices of those third parties, and your use of any linked website or third-party service is at your own risk and subject to that party's own terms.
In short: some parts of the Service rely on outside providers, and outside links are not something we control.
19. Communications, safety reporting, and chat supervision
The Service includes messaging between Staff and Parents, and posts and announcements from an Organization. Text messages sent through the Service are automatically checked by an automated system after they are sent, to help identify content that may need human review for safety reasons; this check happens shortly after a message is sent, not before it is delivered, and a person reviews messages flagged by that system.
An Organization may choose to enable a setting that allows its own administrators to view Staff-Parent conversations within that Organization, for safety or quality assurance purposes. This setting is off by default and must be turned on deliberately by the Organization; if your Organization has turned it on, your conversations within that Organization are visible to its administrators as described in our Privacy Policy.
If you have a safety concern about Content or a conversation, report it to your Organization first where the concern involves someone at that Organization. If your concern is unresolved, or involves the Organization itself, contact us using the details in Section 26.
In short: messages get an automated safety check shortly after they are sent, and a school can choose, but does not have to, to let its own staff review conversations. Report a concern to your school first, then to us if that does not resolve it.
20. Disclaimers and limitation of liability
The Service is provided as is and as available. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, and we do not warrant that the Service will be uninterrupted, error-free, or completely secure.
We are not liable for a delay or failure to perform any part of the Service caused by an event beyond our reasonable control, including a natural disaster, war, act of terrorism, government action, internet or power outage, or a failure of a third-party provider we rely on to provide the Service. We will make reasonable efforts to resume performance once that event ends.
To the fullest extent permitted by applicable law, our total liability to you arising out of or relating to these Terms or the Service, in any twelve-month period, is limited to the greater of one hundred United States dollars (US $100) or the amount you or your Organization paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by our negligence, for our fraud, or for any other liability that the law of your country does not allow us to exclude or limit.
In short: we do not promise the Service is perfect, we are not responsible for a failure caused by something genuinely beyond our control, our liability has a limit, and that limit does not and legally cannot cover harm from our own negligence causing death or injury, including harm arising from the safety-critical translation risk described in Section 7.
21. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, or expense, including reasonable legal fees, arising from your violation of these Terms, your Content, or your violation of the rights of another person, except to the extent the claim arises from our own breach of these Terms or violation of applicable law. If you are a Parent, your total indemnity obligation under this section is limited to five thousand United States dollars (US $5,000).
In short: if your own actions or content cause us a legal problem, you are responsible for that, within reason. For Parents specifically, that responsibility is capped at a fixed dollar amount.
22. Consumer rights: withdrawal and cancellation
As a Parent, you do not pay us directly for the Service, and this document does not create a payment relationship between you and us. Because of that, a statutory consumer right to withdraw from a distance contract, such as the right available under Turkish consumer protection law, does not arise between you and us under these Terms. If your Organization pays us for a Subscription, that is a business relationship between your Organization and us, governed by your Organization's separate agreement with us, not by this section.
In short: you do not pay Edelio directly, so there is nothing here for you to withdraw from. Your school's own payment relationship with us is covered by its own agreement, not by this document.
23. Governing law and disputes
Before either of us starts a formal legal proceeding over a dispute arising from these Terms, the party raising it should send the other a written notice describing the dispute, using the contact details in Section 26, and both of us will attempt in good faith to resolve it within thirty days of that notice. This is what these Terms mean whenever they refer to resolving something informally.
These Terms are governed by the laws of the Republic of Turkey, without regard to conflict-of-law principles, and any dispute arising from them that is not resolved informally is subject to the exclusive jurisdiction of the Istanbul courts and enforcement offices. If you are a consumer, this choice of law does not deprive you of the protection of any mandatory consumer-protection provisions of the law of the country where you habitually reside, and, if you are a consumer in Turkey, you retain your right to apply to the Consumer Arbitration Committee (Tuketici Hakem Heyeti) or Consumer Court (Tuketici Mahkemesi) for disputes within their jurisdiction. This governing law and venue apply to your own use of the Service as a User; your Organization's separate agreement with us addresses governing law and venue for its own relationship with us.
In short: before going to court, we ask that whichever of us has the dispute give the other written notice and thirty days to try to work it out. Turkish law and Istanbul courts apply to your own relationship with us, but if you are a consumer, you keep whatever protections your own country's law gives you regardless, including access to Turkey's consumer dispute committee if that applies to you. Your school has its own arrangement for this in its separate agreement.
24. Changes to these terms
We may update these Terms from time to time. When we do, we will update the version identifier described in Section 4 and post the updated Terms at the same location. If a change is material, particularly one that affects how Student Data is used or how consent works, we will give you advance notice and, where legally required, ask you to accept the updated Terms again before it takes effect. Continuing to use the Service after a non-material change takes effect means you accept it.
In short: we will tell you when these Terms change, and for anything that really matters, we will ask you to agree again before it applies to you.
25. Miscellaneous
If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the documents they incorporate by reference, are the entire agreement between you and us regarding your use of the Service, and supersede any earlier agreement on that subject between you and us personally. If these Terms and one of the documents they incorporate by reference address the same subject differently, our Privacy Policy governs how your information is handled, our Paid Features Terms governs the specific paid feature it describes, and, for an Organization specifically, its own Master Subscription Agreement governs the billing terms of its Subscription; these Terms otherwise govern. Our failure to enforce a provision is not a waiver of it. We may assign these Terms in connection with a merger, acquisition, corporate restructuring including a change in our corporate form, or sale of substantially all our assets, and will give you notice if we do so. These Terms are written and governed in English; if we provide a translation for your convenience, the English version controls in the event of a conflict.
In short: standard housekeeping. If one part of this document is struck down, the rest still applies, if these Terms and another document we reference ever disagree the more specific document wins for its own subject, we will tell you if we ever assign these Terms to a successor, and the English version is the one that counts if a translation ever disagrees with it.
26. Contact and notices
If you have a question about these Terms, a safety concern that your Organization has not resolved, or a request regarding your rights described in our Privacy Policy, contact us at support@okuldas.com, or, for a safety concern specifically, at safety@okuldas.com. Our designated copyright agent, described in Section 17, can be reached at copyright@okuldas.com. Our registered address is 8 The Green, Ste B, Dover, DE 19901, USA.
You can view and download every document referenced in these Terms, whether generally published, such as this document and our Privacy Policy, or specific to your Organization, such as its Master Subscription Agreement and Data Processing Agreement, from within the Service. If you are unable to access a document this way, you may request a copy by email at the address above.
In short: here is how to reach us, and how to get a copy of any agreement mentioned in these Terms.
